YZi Labs alleges that 10X Capital failed to disclose its stake in CEA Industries exceeding 5% and has requested that the firm submit SEC filings to provide an explanation
Svmuu News: YZi Labs issued a statement indicating that the company’s latest filings show that 10X Capital Asset Management LLC and its affiliates may have held more than 5% of the company’s outstanding common stock by the end of 2025, but have not yet filed the Schedule 13D disclosure required by the U.S. Securities and Exchange Commission (SEC). YZi Labs noted that, based on the company’s publicly disclosed warrant exercise data, approximately 2.376 million warrants have been exercised, representing approximately 5.39% of the company’s outstanding shares. YZi Labs stated that it has not exercised any such warrants itself and therefore speculates that these shares primarily originate from 10X-affiliated entities. The statement further noted that neither 10X nor the company’s director, Hans Thomas, has publicly disclosed their shareholdings or filed the required disclosure documents in accordance with regulations. YZi Labs called on the relevant parties to clarify the shareholding situation as soon as possible and to disclose whether there is an “affiliated group of shareholders” that requires disclosure under Section 13(d)(3) of the Securities Exchange Act.
